●  Channel policy

The terms our network operates under

Every retailer signs this before their first order. We publish it because a channel policy nobody outside the company can read is not something a brand can rely on.

1. Marketplace restriction

Retailers in the DistLeader network are prohibited from listing or selling any product supplied through us on third-party marketplaces. This includes, without limitation, Amazon, eBay, Walmart Marketplace, Temu, TikTok Shop, Etsy, Mercari and any successor or equivalent platform.

The prohibition covers direct listings, listings through a related entity, and supplying any third party who lists on those platforms.

There is no waiver process for this clause. A retailer that requires marketplace rights for products supplied through the network is not a fit for the program.

2. Minimum advertised price

Where a brand provides a written MAP policy, we communicate and administer its advertised-price requirements for participating accounts within the scope of the brand agreement, retailer terms and applicable law.

Retailers remain responsible for setting their own resale prices. Where a brand’s MAP policy applies, participating accounts must advertise the brand’s products in accordance with that written policy across the covered channels, which may include their own website, paid search, social media and email.

We monitor covered advertised pricing and document potential violations. Any action is taken under the applicable brand policy, agreements and law.

3. Retailer vetting

No account is activated before it is verified. Every retailer must present a registered business in good standing, the resale documentation applicable to its state and transactions, a commercial business address, and a verifiable retail operation: a physical storefront or an own-domain e-commerce store.

Marketplace-only sellers, dropship arbitrage operations and residential addresses are rejected at intake.

Verification is repeated periodically. An account that stops meeting the standard stops being an account.

4. Anti-diversion

Product supplied through the network is for retail sale to end consumers only.

Resale to other wholesalers, distributors, jobbers, liquidators or export brokers is prohibited without the written consent of the brand.

Export outside the United States is prohibited without the written consent of the brand.

5. Enforcement

A confirmed violation of applicable marketplace, MAP or anti-diversion terms may result in an order hold, suspension of supply or removal from the relevant brand program or network, as permitted by the applicable agreements and law.

Open orders may be held or cancelled where the applicable agreement permits. Any reinstatement decision takes into account the affected brand’s written direction and the relevant contractual terms.

We report enforcement actions involving a brand to that brand, including what happened and what was done about it.

6. Reporting and audit

Under each brand program, reporting can include placement, order and reorder activity, sell-through data where participating retailers provide it, and a record of confirmed policy actions involving the brand.

On request we can confirm whether a specific retailer or storefront is an active network member and whether it is eligible for a particular brand program. Network membership alone does not mean that the retailer is authorized for every brand.

Why we publish this

We publish our core network standards so prospective brand partners can review the channel model before entering a commercial discussion. Written standards also give participating retailers a clear baseline for eligibility and conduct.

For products covered by a brand agreement, the brand-specific written terms incorporated into that agreement govern. Send your policy to [email protected] so the applicable requirements can be reviewed and aligned before launch.

Have a policy to share?

Send us your current channel policy and the categories it covers. We will review the fit with our network standards before a commercial discussion.
